5.11 TACTICAL B2B TERMS AND CONDITIONS OF USE

As a condition to your access to and use of www.511tacticalb2b.com (the "B2B"), you acknowledge and agree to the following:

1. All content included on the B2B, including, but not limited to, text, design, graphics, logos, button icons, images, audio clips, and digital downloads (collectively, "Marks & Images"), is the property of 5.11, Inc. and its affiliates (collectively, "5.11") or its content suppliers and is protected by United States and international copyright and trademark laws;


2. Your use of the Marks & Images is subject to a revocable, non–exclusive, non–transferable license (without the right to grant sublicenses) from 5.11 only: (a) on or with 5.11 products, including the packaging, advertising, marketing, and other materials associated therewith; (b) in full accordance with all guidelines, policies, and instructions set forth herein and as may be promulgated from time to time by 5.11, including without limitation your dealer agreement with 5.11 (collectively, the "License");


3. The Marks & Images may not be used (a) in connection with any business, product, or service whose source is not 5.11, (b) in any manner that is likely to cause confusion among customers, the trade, or the public, or (c) in any manner that disparages or discredits 5.11;


4. You will not attempt to register any of the Marks & Images;


5. 5.11 may terminate the License immediately without notice upon (a) any violation of the terms of the License as stated herein or (b) the termination of your status as an authorized reseller of 5.11 products;


6. You acknowledge that you have been provided with, and agree to be subject to, the terms of our Minimum Advertised Retail Pricing Policy and our Third–Party Website Resale Policy.
